Second Region

Regulates the constitution of the memorandum and by-laws of co-operative association. Establishes its object (as for example conducting and carrying on a cooperative undertaking, business or industry) as well as their ancillary powers. Provides for deposits of money, registration of mortgages, loans to members or directors, amalgamation, and by-laws. Specifies that the capital of an association having share capital shall be divided into shares of the denominations set out in the memorandum and may be changes from time to time by amendment of the memorandum. Sets forth conditions for membership, expulsion and withdrawal of members, and limits the liability of shareholders. Obliges any cooperative to submit their accounts for audit, at the close of each fiscal year. Sets up the election of directors and the organization of general meetings. Other provisions cover contracts, promissory notes, borrowing from members, pledging credits, annual distribution of surplus. Provides for the dissolution, winding-up and liquidation of associations and appoints a liquidator. Offences against this Act are criminally sanctionned. Part II deals with extra-provincial association, which means a corporation that has for its object the operation of any enterprise or service on a cooperative basis for its members or members and patrons. Part III deals with marketing associations, (which has as its principal object the marketing of agricultural products) and with continuing housing associations. Appoints a Director of Cooperative activities.
